Raino Paron

Raino Paron is a partner and one of the most widely recognised banking, finance and capital markets lawyers in Estonia. He has profound international experience having worked for the International Monetary Fund and World Bank in Washington D.C. He has also been active since 1996 in legislative drafting in Estonia and has participated in the drafting of the Financial Supervision Authority Act, Credit Institutions Act, Investment Funds Act, Securities Markets Act, Central Registry of Securities Act, Commercial Code, Bankruptcy Act, the Rules of the Tallinn Stock Exchange and many others. He has been the Chairman of the Arbitration Court of the Tallinn Stock Exchange since the establishment of the Exchange in 1996.

He is the long-term head of the Banking and Finance practice group and has over the years participated in a number of large M&A transactions and field-related disputes.

New tax efficient investment vehicle now available

Until recently all investments structures in Estonia have been subject to authorisation and supervision of the FSA. Investors aiming to set up an unregulated investment structure had limited alternatives until the Parliament adopted new Investment Funds Act (the “IFA”) on December 14, 2016 introducing the tax efficient limited partnership fund (‘Fund’) structure. The new law entered into force on 10 January 2017.
